1. Introduction
Welcome to StreamPilot. These Publisher Terms and Conditions ("Terms") govern your use of our video streaming platform as a content creator ("Publisher" or "Creator"). By creating an account and using our services, you agree to be bound by these Terms.
StreamPilot provides a multi-tenant video streaming platform that enables creators to upload, monetize, and distribute video content to their audiences. These Terms constitute a legally binding agreement between you and StreamPilot.
2. Account Registration
2.1 Eligibility: You must be at least 18 years old and have the legal capacity to enter into binding contracts to create a Publisher account.
2.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized access or security breach.
2.3 Accurate Information: You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
2.4 Service Name: Your chosen service name (subdomain) must not infringe on trademarks, be offensive, or mislead users. We reserve the right to reclaim or modify service names that violate these Terms.
3. Platform Usage
3.1 Permitted Use: You may use StreamPilot to upload, store, manage, and distribute video content to your subscribers through your dedicated streaming site.
3.2 Prohibited Content: You may not upload or distribute content that:
- Violates any applicable laws or regulations
- Infringes on intellectual property rights of others
- Contains malware, viruses, or harmful code
- Is defamatory, obscene, pornographic, or sexually explicit
- Promotes violence, hatred, or discrimination
- Violates privacy rights or contains personal information without consent
- Is fraudulent, deceptive, or misleading
Additionally, you may not:
3.2.1 Engage in or facilitate:
- Account sharing or credential sharing with non-subscribers
- Automated scraping or data mining of subscriber information
- Botnet or DDoS attacks against the platform or other users
- Phishing, social engineering, or credential theft
- Reselling or redistributing platform access
3.2.2 Manipulate Engagement Metrics:
- Use fake subscribers, bots, or paid engagement services to artificially inflate view counts or revenue
- Coordinate fraudulent or misleading analytics reporting
3.2.3 Violate Platform Stability:
- Uploading files with malicious code, ransomware, or exploit kits
- Attempting to reverse-engineer or circumvent platform security measures
3.3 Content Moderation: We reserve the right to review, remove, or refuse to publish any content that violates these Terms or is otherwise objectionable, at our sole discretion.
3.3.1 Removal Notification: When we remove content, we will provide written notice within 5 business days explaining the reason for removal and the specific Terms provision violated.
3.3.2 Appeal Process: You may appeal content removal decisions by contacting support@streampilot.com within 30 days. We will review appeals within 10 business days.
3.3.3 Emergency Removal: Content containing child exploitation, imminent harm, or illegal activity may be removed immediately without prior notification.
3.4 Technical Limits: We may impose reasonable limitations on file sizes, storage capacity, bandwidth usage, and video duration based on your subscription plan.
3.5 Digital Millennium Copyright Act (DMCA) Compliance:
3.5.1 DMCA Agent Designation: StreamPilot has designated a DMCA agent to receive copyright infringement notifications. All DMCA takedown notices should be sent to dmca-agent@streampilot.com.
3.5.2 Repeat Infringer Policy: StreamPilot maintains a policy to terminate accounts of users who are repeat infringers of copyright rights. After receipt of two valid DMCA notices within 12 months, StreamPilot may terminate your account without refund.
3.5.3 Expedited Removal: Upon receipt of a valid DMCA takedown notice, StreamPilot will expeditiously remove or disable access to the allegedly infringing content and notify you of the removal.
3.5.4 Counter-Notice Rights: If you believe content was removed in error, you may submit a counter-notification to dmca-agent@streampilot.com in accordance with 17 U.S.C. § 512(g).
4. Content & Ownership
4.1 Your Ownership: You retain all ownership rights to the content you upload to StreamPilot. We do not claim any ownership over your content.
4.2 License to StreamPilot: By uploading content, you grant StreamPilot a non-exclusive, worldwide, royalty-free license to store, process, transcode, reproduce, and distribute your content solely for the purpose of providing our services to you and your subscribers.
4.3 Your Warranties: You represent and warrant that:
- You own or have obtained all necessary rights and licenses to your content
- Your content does not infringe on any third-party rights
- You have obtained all necessary consents from individuals appearing in your content
4.4 Backup: While we maintain backups, you are solely responsible for maintaining your own backup copies of your content. We are not liable for any loss or corruption of your content.
5. Monetization & Payments
5.1 Subscription Plans: StreamPilot offers various subscription plans with different features, storage limits, and pricing. Current pricing is available on our website.
5.2 Payment Terms: Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in these Terms.
5.3 Revenue Sharing: If you monetize your content through subscriber fees or pay-per-view, StreamPilot retains a platform fee as specified in your subscription plan. Revenue sharing details will be clearly communicated in your account dashboard.
5.4 Payment Processing: Payments are processed through third-party payment providers. You agree to comply with their terms and conditions.
5.5 Taxes: You are responsible for determining and paying all applicable taxes related to your use of the platform and revenue earned through your content.
5.6 Price Changes: We reserve the right to modify our pricing with at least 30 days' notice. Continued use of the service after price changes constitutes acceptance.
5.7 Third-Party Content & Royalties:
5.7.1 Licensed Music/Media: If you incorporate licensed music, footage, or other third-party content into your videos, you are solely responsible for obtaining proper licenses and paying associated royalties. StreamPilot does not manage licensing on your behalf.
5.7.2 Content ID Systems: StreamPilot may implement or integrate third-party Content ID systems (e.g., YouTube Content ID equivalent) to identify copyrighted material in your streams. Revenue from flagged content may be held, disputed, or directed to copyright holders as required.
5.7.3 Royalty Withholding: If your content is subject to copyright claims, StreamPilot may withhold revenue pending resolution of the claim.
5.7.4 Your Representations: You represent that you either own the rights to all audio, visual, and other content in your videos, or have obtained valid licenses authorizing your use.
5.8 Revenue Hold & Fraud Prevention:
5.8.1 Suspicious Activity Hold: StreamPilot may place a hold on revenue payments if we detect suspicious account activity, payment fraud, or Terms violations under investigation.
5.8.2 Chargeback Policy: If a subscriber initiates a chargeback or payment reversal, you agree to reimburse StreamPilot for the full amount plus any fees and interest incurred. Repeated chargebacks may result in account termination.
5.8.3 Minimum Payout Threshold: Earnings must reach a minimum threshold of $20 USD before payment is processed. Unclaimed balances expire after 12 months.
5.8.4 Payment Timing: Revenue payments are processed monthly within 30 days after the end of the billing period. Payment dates may be delayed due to payment processor issues or fraud investigations.
5.8.5 Exchange Rates: For international payments, applicable exchange rates are determined by your payment processor. StreamPilot is not liable for exchange rate fluctuations.
5.9 Subscriber Disputes & Refunds:
5.9.1 Subscriber Service: Disputes with subscribers are your responsibility. StreamPilot provides platform infrastructure but does not serve as an intermediary for subscriber complaints.
5.9.2 Refund Requests: You are responsible for issuing refunds to subscribers in accordance with your stated refund policy. StreamPilot will not process refunds on your behalf.
5.9.3 Chargeback Liability: If a subscriber initiates a chargeback, you remain liable for the full amount. Repeated chargebacks may trigger account suspension.
5.9.4 Subscriber Communication: You must respond to subscriber support inquiries within 48 hours. Failure to maintain adequate subscriber support may result in account suspension.
6. Service Availability
6.1 Uptime & Service Availability:
6.1.1 Target Uptime: StreamPilot targets 99.9% uptime, measured monthly, excluding scheduled and emergency maintenance.
6.1.2 Scheduled Maintenance: We will conduct maintenance during a designated maintenance window (Sundays 2-4 AM UTC) with 7 days' advance notice when possible.
6.1.3 Service Credits: If uptime falls below 99% in any calendar month, you may be eligible for service credits applied to your next invoice:
- 99.0% - 98.9%: 5% credit
- 98.9% - 98.0%: 10% credit
- Below 98%: 25% credit
6.1.4 Credit Limitations: Service credits are your sole remedy for downtime and do not constitute a refund. Credits must be claimed within 30 days of the outage.
6.1.5 Excluded Downtime: Uptime calculations exclude downtime caused by force majeure, subscriber network issues, third-party service failures, or DDoS attacks.
6.2 Maintenance: We may perform scheduled maintenance with advance notice. Emergency maintenance may be performed without notice.
6.3 Service Modifications: We reserve the right to modify, suspend, or discontinue any aspect of the service at any time, with or without notice.
7. Termination
7.1 Termination by You: You may terminate your account at any time through your account settings or by contacting support. Termination does not entitle you to a refund of any prepaid fees.
7.2 Termination by Us: We may suspend or terminate your account immediately if:
- You violate these Terms
- Your content violates our policies
- You fail to pay fees when due
- You engage in fraudulent or illegal activities
- We are required to do so by law
7.3 Effect of Termination: Upon termination, your access to the platform will cease, and we may delete your content after a reasonable grace period. You should download your content before terminating your account.
7.3.1 Data Deletion Timeline: Upon account termination, you have 30 days to download your content and data. After 30 days, StreamPilot will delete all your content, subscriber data, and analytics information. Backups may be retained for an additional 30 days for security purposes but will not be restored.
7.3.2 Subscriber Data: Upon termination, you are responsible for notifying your subscribers of the account closure and downloading any subscriber contact information before the grace period expires. StreamPilot will delete all subscriber data associated with your account.
7.3.3 Refund Policy: Prepaid subscription fees are non-refundable upon termination. If you prepay for 12 months and terminate after 3 months, no refund will be issued. Partial refunds may be permitted only if required by applicable law (e.g., GDPR right of withdrawal).
7.4 Survival: Sections related to ownership, liability limitations, indemnification, and dispute resolution survive termination.
8. Liability & Disclaimers
8.1 Service Provided "As Is": The service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.
8.2 Limitation of Liability: To the maximum extent permitted by law, StreamPilot shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.
8.3 Maximum Liability: Our total liability to you for all claims arising out of or relating to these Terms or the service shall not exceed the amount you paid to StreamPilot in the 12 months preceding the claim.
8.4 Indemnification: You agree to indemnify, defend, and hold harmless StreamPilot and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your content, your use of the service, or your violation of these Terms.
9. Privacy & Data
9.1 Privacy Policy: Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
9.2 Data Protection: We implement appropriate technical and organizational measures to protect your content and personal data. However, no method of transmission or storage is 100% secure.
9.3 Your Subscribers' Data: You are the data controller for any personal data collected from your subscribers. You are responsible for complying with applicable data protection laws (GDPR, CCPA, etc.) in your use of subscriber data.
9.3.1 Data Processing Agreement: For EU-based creators, we will execute a Data Processing Agreement (DPA) addendum to these Terms upon request to comply with GDPR Article 28 requirements.
9.3.2 Subscriber Consent: You represent and warrant that you have obtained all necessary consents from subscribers before collecting, processing, or sharing their data (including with third-party analytics providers).
9.3.3 Data Retention: You must implement reasonable data retention policies and delete subscriber data upon their request or account cancellation. StreamPilot will not retain subscriber data after account termination.
9.3.4 Indemnification: You indemnify StreamPilot for any GDPR fines, CCPA penalties, or other data protection liability arising from your failure to comply with applicable laws in handling subscriber data.
10. Dispute Resolution
10.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law provisions.
10.2 Informal Resolution: Before filing a claim, you agree to contact us at legal@streampilot.com to attempt to resolve the dispute informally.
10.3 Jurisdiction: Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in [Jurisdiction], and you consent to personal jurisdiction in such courts.
11. Changes to Terms
11.1 Modifications: We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or through the platform at least 30 days before they take effect.
11.2 Acceptance: Continued use of the service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must terminate your account.
11.3 Version History: The current version of these Terms is always available at this URL, and the "Last Updated" date indicates when changes were last made.

13. Force Majeure
13.1 Neither party shall be liable for any failure to perform its obligations under these Terms if such failure is caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, or failure of third-party infrastructure providers.
13.2 The affected party must provide notice of the force majeure event within 5 business days and make reasonable efforts to resume performance.
13.3 If a force majeure event prevents service for more than 30 consecutive days, either party may terminate the agreement without liability.
By using StreamPilot as a Publisher, you acknowledge that you have read, understood, and agree to be bound by these Publisher Terms and Conditions.
